Platform Usage Agreement

FLUGIA is a B2B SaaS platform that provides businesses with specialized AI co-workers (David – Marketing, Emily – Customer Support, Edouard – Sales, and others) designed to automate tasks and improve productivity across your organization. FLUGIA connects to your existing tools and platforms to execute tasks on your behalf based on your instructions.
These Terms & Conditions ('Terms') govern access to and use of the FLUGIA platform accessible at flugia.com ('Platform'). By creating an account or using the Platform, you accept these Terms in their entirety.

To use the Platform, you must create an account. You agree to:
FLUGIA reserves the right to refuse, suspend, or terminate any account at its sole discretion, particularly in cases of breach of these Terms, provision of false information, or activities that harm the Platform or other users.
Accounts are personal or organizational and may not be transferred without FLUGIA's prior written consent.
FLUGIA provides access to AI co-workers that can, depending on your subscription plan:
Services are delivered on a subscription basis. The specific features available depend on the plan subscribed to. FLUGIA reserves the right to evolve, modify, or discontinue features with reasonable notice.
FLUGIA operates 24 hours a day, 7 days a week, subject to scheduled maintenance windows, which FLUGIA will endeavour to announce in advance.
The Platform allows you to connect Third-Party Tools. By doing so, you:
FLUGIA only requests minimum necessary permissions for each integration and does not store third-party credentials beyond what is required for the integration to function.
You agree not to use the Platform to:
FLUGIA reserves the right to immediately suspend access for any User found to be in breach of this section, without refund, and to pursue legal remedies where appropriate.
All rights, title, and interest in and to the Platform — including its AI models, software, design, trademarks, and documentation — remain the exclusive property of FLUGIA or its licensors.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely in accordance with these Terms and your active subscription.
You retain all rights to Content you submit to the Platform. By submitting Content, you grant FLUGIA a limited licence to process that Content solely to provide the services described herein. FLUGIA will not use your Content to train general AI models (see Privacy Policy).
You must not use FLUGIA's trademarks, logos, or brand assets without prior written permission.
FLUGIA processes personal data in accordance with its Privacy Policy (flugia.com/privacy-policy) and applicable data protection law, including the General Data Protection Regulation (GDPR).
In the context of delivering its services, FLUGIA acts as:

You represent and warrant that any personal data you submit through the Platform has been collected lawfully, and that you have a valid legal basis for processing it through FLUGIA's services.
Each party agrees to keep the other's Confidential Information strictly confidential and not to disclose it to any third party without prior written consent, except as required by law.
'Confidential Information' includes technical, commercial, financial, and operational information that is marked as confidential or would reasonably be understood to be confidential given its nature.
FLUGIA's confidentiality obligations with respect to your data are further described in the Privacy Policy.
FLUGIA aims to maintain Platform availability of 99.5% per calendar month, excluding scheduled maintenance.
FLUGIA will endeavour to provide advance notice of scheduled maintenance that may affect service availability.
FLUGIA does not guarantee uninterrupted or error-free access to the Platform and shall not be liable for interruptions caused by factors outside its reasonable control (force majeure, third-party outages, etc.).
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLUGIA'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO FLUGIA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
FLUGIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Nothing in these Terms limits FLUGIA's liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded by law.
FLUGIA may update these Terms from time to time. We will notify you of material changes by email or via a prominent notice on the Platform at least 30 days before changes take effect.
Your continued use of the Platform after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree, you may terminate your subscription before the changes take effect.
Either party may terminate the agreement in accordance with the Terms of Sale. Upon termination:
FLUGIA may terminate your access immediately and without notice in cases of material breach of these Terms, illegal activity, or where continued access poses a risk to other users or the Platform.
These Terms are governed by and construed in accordance with the laws of Belgium. Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties.
If not resolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Brussels, Belgium.
EU consumers retain the right to submit complaints to their local consumer protection authority and to use the EU Online Dispute Resolution platform at: ec.europa.eu/consumers/odr.
